Authorised Seller Policy

TL;DR

This policy defines an Authorised Seller as a Platform Operator authorised to sell and manage Tenancy Accounts on their Enterprise subscription account.

Only the Licensor may authorise Enterprise Accounts to sell Tenancy Accounts.

Authorised Sellers are required to have both an Enterprise Subscription as well as a signed Service Level Agreement with the Licensor in order to sell Tenancy Accounts and operate as Resellers (unless otherwise agreed in writing).

Authorised Sellers oversee implementation, customer & end-user support, and compliance.

Tenancy Accounts are single-instance customers on an Enterprise platform, while Enterprise Accounts have dedicated environments and can create multiple tenancies.

Pricing is reviewed annually, and Enterprise Accounts have autonomy in setting tenancy prices within ED’s subscription tiers and capacity guidelines.

Purpose

This policy describes the Authorised Seller. For full definitions, please refer to your Authorised Seller Agreement.

Only the Licensor may grant sub-licenses to Enterprise customers. Enterprise Accounts are authorised to sell Tenancy Accounts only.

Enterprise Account subscribers are mandated to:

  1. be authorised sellers of tenancies on their platform iteration;

  2. manage the implementation process;

  3. provide support & training for their customers;

  4. ensure correct usage of tenancies;

  5. prevent the unauthorised selling of platform accounts by Tenant Accounts;

Scope

All employees, contractors, consultants, appointed providers, temporary and other workers within or outside of the Licensor's/Licensee's organisation and its subsidiaries must adhere to this policy. This policy specifies the sub-licensing parameters and processes.

Policy Details

What is a Tenancy? A Tenancy is a subscription on an Enterprise platform account that is operated by the Licensor or an Authorised Seller.

Who sells Platform Tenancies? Tenancies are sold by the Licensor, a Licensee, or an Authorised Seller with an Enterprise Account.

What is an Authorised Seller? An Authorised Seller has an agreement with the Platform Licensor and is thus authorised to sell and manage Tenancy Accounts on their Enterprise subscription account.

What does an Authorised Seller offer? An Authorised Seller may offer Tenancy accounts & linked apps on their platform only, but is not enabled to provide Enterprise accounts.

What is an Enterprise Account? Enterprise accounts have a dedicated server environment and are beholden to the Pricing & Subscription Policy prescribed by the Licensor. These accounts have their own platform iteration and are able to add multiple Tenancy accounts and apps.

How are Tenancy Accounts & Apps Created? Enterprise Accounts can create multiple Tenancy accounts using the Account Management tools available to them on the platform. They can be used internally in a multi-tenancy setting, or in the capacity of an Authorised Seller.

How are Tenancies paid for? All accounts that are created on a platform are billed a monthly subscription fee (refer to pricing). Regardless of its type or state, an account that has not been terminated will be billable on a monthly recurring basis until terminated.

Licensee vs Authorised Seller: What’s the Difference?

Licensee

A Licensee runs their own Enterprise account and can resell both Tenancy and Enterprise accounts. They get exclusive pricing tiers from the Licensor and can use their own brand name when offering the platform. It’s a more flexible, independent setup. The Licensee may publicly present themselves as a licensed platform operator of their white-label platform.

Authorised Seller

An Authorised Seller can only resell Tenancy accounts through their Enterprise platform. They must clearly show they’re selling on behalf of the Licensor’s platform (and may only do so under the Licensor's platform brand), and they receive standard retail pricing for the Tenancy subscriptions they sell. The Authorised Seller may publicly present themselves as an authorised reseller of the Licensor's platform.

Both Licensees and Authorised Sellers can choose to offer customer support and extra services such as platform support, end-user support, content services, etc.

Subscription Account Types (Inclusions, Exclusions)

Enterprise and/or Enterprise+ Accounts

  • can only be configured by a Licensor or mandated Licensee;

  • can only be sold by/provided by the Licensor or mandated Licensee;

  • may sell and/or create multiple Tenancies on their Enterprise platform instance;

  • can upgrade to an Enterprise + account;

  • can have their own account to author content and an app to distribute content to;

  • has the ability to export content from the platform for external use;

  • has the ability to transfer content to other Tenancy accounts on the same platform;

  • operates an Enterprise platform with multi-tenancies;

  • is the customer of the Licensor.

Tenancy Accounts

  • can only be created/configured by the Licensor or an Authorised Seller operating a platform instance;

  • may not sell and/or create multiple accounts. Any Standard Tenant who sells accounts does so without warranty or license;

  • can upgrade to an Enterprise Subscription in order to sell and operate multi-tenancies;

  • can get an account to author content and an app to distribute content to;

  • has the ability to export content from the platform for external use;

  • has the ability to transfer content to other Tenancy accounts on the same platform;

  • is a single tenancy on an Enterprise platform,

  • is the customer of an Enterprise account.

Enterprise Accounts have pricing autonomy to determine their own tenancy sales price to end-users, provided they adhere to the subscription tiers and capacity defined in ED Pricing.
